Decoder's Entity provides digital product development services. Specific terms of service for client projects are governed by separate service agreements signed by both parties.
In no event shall Decoder's Entity be liable for any damages (including, without limitation, damages for loss of data or profit, or due to business interruption) arising out of the use or inability to use the materials on Decoder's Entity's website.
All quotations are valid for 15 days unless stated otherwise. Pricing is based on scope, complexity, and timeline. Taxes, third‑party licenses, and infrastructure costs are additional unless explicitly included.
Invoices are due within 7 days of receipt unless agreed otherwise. Late payments may incur a financing charge of 1.5% per month or the maximum permitted by law, whichever is lower. Work may be paused until outstanding invoices are settled.
Projects typically move through discovery, design, development, testing, and deployment phases. Acceptance criteria and delivery milestones will be defined in the Statement of Work. Client feedback cycles are timeboxed to maintain schedule.
Requests that alter agreed scope, timelines, or assumptions will be documented via a change request and may affect cost and schedule.
The client agrees to provide timely feedback, access to necessary systems, and an authorized decision‑maker. Delays in inputs may extend delivery dates.
Upon full and final payment, and unless otherwise agreed, ownership of project‑specific deliverables transfers to the client. Decoder's Entity retains ownership of pre‑existing materials, frameworks, and reusable components licensed to the client for the project.
Both parties agree to keep confidential information private and use it only for the purpose of the engagement. We may showcase non‑confidential work in our portfolio unless the client objects in writing.
We warrant that deliverables will materially conform to the agreed specifications for 15 days after delivery. This warranty excludes third‑party changes and misuse. Ongoing support and maintenance are available via separate agreements.
Each party agrees to indemnify and hold the other harmless from claims arising out of breach of these Terms, violation of law, or infringement caused by materials supplied by that party.
Either party may terminate the engagement for material breach if not cured within 10 days of written notice. Upon termination, the client will pay for work completed to date and all non‑cancelable commitments.
These Terms are governed by the laws of India. Disputes shall first be attempted to be resolved amicably; failing that, they will be subject to the exclusive jurisdiction of the courts in Jaipur, Rajasthan.
Neither party is liable for delays or failures caused by events beyond reasonable control, including acts of God, war, or internet outages.
We may update these Terms from time to time. Updates will be posted on this page with the “Last updated” date. Continued use of the Site signifies acceptance of the changes.
